Terms Of Service: E-Label (Inclusive Of Cellr's Essential Terms And Conditions)

INTRODUCTION

Overview of the Service

Cellr, The Company will supply an E-label solution to the best of its ability and understanding, compliantly with EU Wine labelling regulations, effective December 8th, 2023. Supplied to platform subscribers, users can create E-labels with relevant information to consumers globally. E-label features are only available to E-label subscribers unless those are subscribed to additional platform features.

Acceptance of Terms

By accessing or using the SaaS platform, the user acknowledges that they have read, understood, and agree to be bound by the terms and conditions of this agreement.
If the user does not agree to the terms of service, they should refrain from accessing or using the SaaS platform.

Parties to the Agreement

Service Provider: Cellr Pty Ltd, a company duly registered and operating under the laws of Western Australia, with its principal place of business at Suite 46, Lot Fourteen, Stone & Chalk, Adelaide Tce, Adelaide, South Australia, Australia, 5000.
User: Any individual or entity that accesses or uses the SaaS platform provided by the service provider.

DEFINITIONS

1. SaaS. Software as a Service.

2. eLabels (also indicated by E-Labels or Elabels). Digital labels used within the service.

3. The Company. Cellr, also known as Service Provider.

4. The Platform. Cellr's software and any applications it owns.

5. User. Individuals authorised by subscribers to access the platform.

6. Subscribers. User's of the The Platform and/or but not limited to; Tenants, Producers and their respective users who have paid to use Cellr's services and/or are authorised to do so.

SUBSCRIPTION TIERS

1. Tiered Structure. Software as a Service.

2. Subscription Levels.

i. Tier 1 (Basic): Up to 20 eLabels

ii. Tier 2 (Plus): Up to 50 eLabels

iii. Tier 3 (Premium): Up to 80 eLabels

iv. Tier 4 (Unlimited): Unlimited eLabels

3. Additional service options. Priced and quoted upon request, paid as per the Additional Services agreement.

BILLING & PAYMENT

1. Annual Billing. The subscription is billed on an annual basis, payed upfront

2. Payment Methods.

i. Direct Deposit: Users can make payment via direct deposit.

ii. Credit Card: Users can make payment using a valid credit card.

iii. Stripe: Users can make payment through the Stripe Payment Gateway.
